Terms and Conditions of Use Job-based Evaluation and Testing Service

IMPORTANT: please read carefully the following BEFORE using the software for which you acquired a right of use. You agree to the U-Man Tests4Success Platform Terms of Use Agreement, along with certifying that you represent a legitimate business and are creating an account to evaluate candidates for employment or existing staff exclusively for that business. This U-Man Tests4Success Platform Terms of Use Agreement (“Agreement”) constitutes an agreement by and between U-Man (“U-MAN” or “We/Us”) and your business entity using the Services (“The CLIENT” or “You”). This Agreement explains the terms and conditions that govern the Client’s use of the U-MAN Tests4Success services. By accessing or using our Tests4Success services, you signify that you have read, understand and agree to be bound by this Agreement. U-MAN reserves the right to amend this Agreement at any time.
1. DEFINITIONS
1.1 “Client Information” refers to information collected via the Services by or from the CLIENT, including without limitation information provided by Candidates.
1.2 “Services” refers to the U-MAN products, services and software accessed by means of the U-MAN Tests4Success Platform.
1.3 “Candidate” means an individual who accesses the U-MAN Tests4Success software and inputs any information in response to any software prompt.
1.4 “GDPR” means General Data Protection Regulations.
2. SERVICES
2.1 U-MAN provides a license of utilization to the CLIENT for the use of the U-MAN Tests4Success Platform which contains various assessments made.
The CLIENT understands that U-MAN does NOT deliver testing services but rather a license of software usage. The CLIENT is responsible for the proper usage of any assessment offered by the U-MAN Tests4Success platform. All services related to the U-MAN Tests4Success platform are thus limited to the usage of the system. U-MAN provides support, advice and technical tips to the CLIENT in order to help the CLIENT make a proper usage of the software.
2.2 License. This license is granted to the CLIENT in exchange for payment of the rights of use established between U-MAN and the CLIENT.
The software is declared to be in use as soon as the CLIENT has logged on to the U-MAN Tests4Success platform through his password AND has accepted the terms and conditions of use.
The current license is acquired and effective as soon as full payment has been received, according to the terms and conditions at the time of the purchase.
3. LIMITATIONS TO THE USE OF TESTING INFORMATION
3.1 Limitation of use. Any test/assessment from the U-MAN Tests4Success platform has the sole purpose of evaluating a person’s potential against a specific job, in a specific work environment. It helps the employer undertake a matching analysis or compatibility check between required job qualifications and the evaluated person’s professional experience, skills and motivations. No test from the U-MAN Tests4Success platform can be used as a judgment tool; it should be exclusively used as part of a complete selection or evaluation procedure, including a formal interview, a thorough technical skills analysis and a reference check – or a full performance review, in respect of applicable national laws.
3.2 Use of formal procedure. Never use any test from U-MAN Tests4Success platform to judge or discriminate a person, but rather to know and understand him/her better. Consider any test from U-MAN Tests4Success platform as a powerful companion to your overall selection and/or evaluation procedure. It will help you confirm what you might have observed during an interview and/or challenge what you might not have seen.
3.3 Understanding low traits. Some traits in any test from U-MAN Tests4Success platform may present very low scores – a potential indicator that the evaluated person has recently gone through some serious difficulties or bad experience, at work or in life. Please ensure that you thoroughly read and understand the comments provided in this profile report, specifically related to these very low traits. As a matter of facts, a major failure, loss, disappointment, etc. could temporarily “collapse” one’s personality and behavior characteristics. Any of our tests will provide such comments when we believe it might be applicable. The provided information in any test from U-MAN Tests4Success platform does not necessarily represent a complete “picture” of the evaluated person. In case of doubt, you can contact the service support of U-MAN.
3.4 Rights of testees. Per applicable laws related to privacy (specifically per the E.E.O.A. in the USA – Equal Employment Opportunity Act and per GDPR – General Data Protection Regulations), no candidate or employee can be forced to fill a productivity or personality test. Also, anyone filling a test has a right to have access to the provided information. The CLIENT thus agrees to comply with all applicable laws regarding privacy, non-discrimination regulations as well as protection of personal data, regarding the use of the U-MAN Tests4Success platform in relation to applicants and/or evaluated existing staff.
4.CLIENT DUTIES AND ACKNOWLEDGEMENTS
4.1 Services Content. Except for allowing Candidates to access the Services, the CLIENT shall not disclose the contents of the Services to any third party.
4.2 Access to the U-MAN Tests4Success platform. When using the U-Man Tests4Success Platform, the CLIENT is responsible for the safeguarding of the confidentiality of the account and for the password which has been provided to him/her on the site. The CLIENT agrees to assume responsibility for any and all activities occurring on his/her account and under his/her password. The CLIENT agrees to take the necessary measures to protect his/her account against unauthorized access. Whenever he/she thinks someone uses the account illegally, or that information that the account contains, has been lost or stolen, the CLIENT commits himself to immediately inform U-MAN about the matter.
4.3 Use of the U-MAN Tests4Success platform. The CLIENT agrees to use the U-MAN Tests4Success platform exclusively in conjunction with evaluating Candidates or employees for jobs within its organization and for no other purpose.
4.4 Ownership of the U-MAN Tests4Success platform. This software is the property of Hirebox International. It is distributed by U-MAN. The current license only grants The CLIENT the right to use the U-MAN Tests4Success platform.
4.5 Deontology. By using the U-MAN Tests4Success platform, the CLIENT commits himself to respect and have others respect specific laws and rules, among them those related to information in regards to the privacy protection of individuals.
4.6 Intellectual Property Protection. The software provides the CLIENT with knowledge acquired by the author in the field of evaluation of human potential and professional competencies. This knowledge is protected by copyright and by the specific laws applicable to copyright. It is not permitted for the CLIENT to use the informative and/or educational content of the software for personal or professional purposes, other than those covered in this agreement and under the above-mentioned terms, at the risk of immediate termination of this license.
5. USE OF THE U-MAN TESTING PLATFORM AND ITS WEB-BASED SOFTWARE
5.1 The CLIENT may only use this software for the purpose it was sold for. It is forbidden to modify it or to remove the copyright clause that appears on or is contained by it.
The U-Man Tests4Success Platform or any part thereof may not be reproduced, copied, sold or commercialized in any way whatsoever without the written consent of Hirebox International.
5.2 Responsibility waiver. The CLIENT is solely accountable for the conclusions or decisions he/she will have made based on the use of the software. Hirebox International and U-MAN decline all responsibility in the event of wrongful use of the information provided, or in the event of a disagreement, conflict or legal prosecution between the software user and the evaluated person(s), or in the event of unsatisfactory or failed recruitments.
6. U-MAN DUTIES
6.1 License Grant. Subject to the terms and conditions of this Agreement, U-MAN hereby grants You a non-exclusive, unlimited, non-transferable, non-sublicensable, freely revocable, license to use the U-MAN Tests4Success platform. U-MAN reserves all rights not expressly granted herein in the U-MAN Tests4Success platform.
6.2 Protection of/Access to Client Information. U-MAN shall use commercially reasonable measures to protect Client Information from disclosure to any third party. However, U-MAN cannot guarantee that any unauthorized third parties will never be able to defeat the U-MAN Tests4Success platform security measures or use Client Information for improper purposes. Notwithstanding anything to the contrary herein, U-MAN will release Client Information in response to a governmental or judicial order. Moreover, U-MAN shall use commercially reasonable efforts to retain all Client Information. Notwithstanding, U-MAN shall have no liability for erased or otherwise lost Client Information and U-MAN may permanently erase and/or restrict Client’s access to Client Information if the Client’s account is suspended, or terminated.
6.3 Maintenance. U-MAN shall utilize reasonable efforts to schedule maintenance for the U-MAN Tests4Success platform services during non-business hours. U-MAN shall notify the CLIENT of any required maintenance at least one (1) day in advance, except in those cases when it is not possible to do so.
7. REGULATIONS PERTAINING TO ACQUISITION, USE & DISPOSAL OF DATA – COMPLIANCE WITH GDPR
7.1 GDPR. The U-MAN Tests4Success platform being internationally used, we seek to comply with all applicable US and international laws and regulations and additionally, we seek to comply with GDPR (General Data Protection Regulations). In accordance to GDPR, we protect all data provided by the CLIENT in the rendering of testing services.
7.2 Access of personal data. U-MAN shall have access to the CLIENT’s data regarding CLIENT’s applicants or employees, as part of the testing process. Such data may include first and last name and e-mail address. No other personal data shall be acquired by the U-MAN Tests4Success platform in the context of testing process. The CLIENT recognizes that all data pertaining to testing its applicants and employees shall be provided to the U-MAN Tests4Success platform for the exclusive purpose of delivering information per our testing license agreement and for no other purpose.
7.3 Storage of data. The U-MAN Tests4Success platform shall thus obtain candidates and/or employees first and last names as well as e-mail address for the exclusive use of the rendering of our testing process and shall store such data temporarily on the testing platform – the CLIENT’s account and the U-MAN Tests4Success general platform.
7.4 Limitations of use & storage. Additionally, the U-MAN Tests4Success platform shall store on its own platform all data pertaining to the CLIENT’s applicants or employees test results for the exclusive purpose of providing the CLIENT the test results. The CLIENT is informed that the U-MAN Tests4Success platform will store acquired data under the following conditions and limitations:
- ENCRYPTION: the U-MAN Tests4Success platform encrypts ALL data pertaining to the CLIENT as well as to the CLIENT’S applicants and/or employees, in order to minimize the liability related to the abusive use of such data – such as stealing/hacking the data by a third party.
- STORAGE:the U-MAN Tests4Success platform does NOT retain/keep the personal data related to any test – such as name or email address more than two (2) years, for the exclusive purpose of helping the CLIENT to retrieve, if needed, specific information. The U-MAN Tests4Success platform systematically erases every personal information attached to all test results stored for two years and keeps ONLY non-nominative test results – for the sole purposes of statistics.
- LIMITATION OF USE OF DATA: all personal data provided to the U-MAN Tests4Success platform by the CLIENT (first and last name, email address) are thus erased, two years after the test results have been provided to the CLIENT. The U-MAN Tests4Success platform will then keep the test results ONLY with a unique code allocated to each specific test, for statistics purposes only. It is thus the CLIENT’s responsibility to maintain a proper management of data that allow the CLIENT to relate a specific test result to the proper applicant or employee.
- SHARING OF DATA: test results are stored by the U-MAN Tests4Success platform on the CLIENT’s testing platform account exclusively, as well as in the U-MAN Tests4Success platform backup cloud file (encrypted and secured) for a maximum of 2 years. NO DATA pertaining to the CLIENT or to CLIENT’s applicants and/or employees are shared by the U-MAN Tests4Success platform with any third party at any time. All activity logs stored by the U-MAN Tests4Success platform are discarded every 6 months and NOT kept in any form of storage.
7.5 Use of candidates’ data. The U-MAN Tests4Success platform does not use any data provided by the CLIENT for any other purpose as the ones stated above. All information related to applicants and/or employees that contains names and email addresses is discarded two years after we have rendered the test results through the testing platform.
7.6 Use of the CLIENT data. We store data related to You, your executives or employees who have access to the U-MAN Tests4Success platform (and who are considered as platform administrator or users) exclusively for allowing us to be in contact with you or any concerned person. We do not sell, give or rent your personal information under any circumstance. However, we may use the data to contact you, to promote our services and/or to follow up with you on any test results for which you have asked assistance or feedback.
7.7 Use of A.I. assisted analysis and evaluation. The U-Man Tests4Success platform or platform users may use private information received from candidates or from employers such as resumes, test results, etc. Such information may be used to develop A.I. assisted analysis of candidates' profile or even to obtain recommendation from any A.I. platform. All information obtained with A.I. application is processed in a closed environment. No information is ever made public or available on the web. All use of A.I. assisted application is always done with respect to privacy and confidentiality and strictly complies with GDPR.
7.8 Access to CLIENT platform. U-MAN provides the CLIENT access to our testing platform under the conditions stated in this license agreement. The CLIENT grants U-MAN access to the CLIENT's platform account for the exclusive purpose of repairing, debugging, cleaning, improving the platform, and/or for providing information to the CLIENT about test results. When ;U-MAN accesses the CLIENT’s account, no data shall be used, obtained, transferred or changed without the CLIENT’s consent. U-MAN and/or any of its agents shall then use the information viewed, provided or shared with the CLIENT for the exclusive purpose of providing valuable, additional information to the CLIENT and for no other purpose whatsoever.
8. DISPUTES
The licensing contract regarding the use of the U-MAN Tests4Success platform is governed by Belgian law.
Any disputes are regulated exclusively by the courts within the legal jurisdiction of Mechelen.
